These Terms of Service (the "Terms") govern your access to and use of tracefour.com (the "Service"), operated by Tracefour ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Not investment advice
Tracefour aggregates and displays publicly available SEC EDGAR filings and STOCK Act disclosures in a readable format. Nothing on the Service constitutes investment advice, a recommendation to buy or sell any security, an offer or solicitation to do either, tax or legal advice, or an endorsement of any issuer, insider, or security. You are solely responsible for your own investment decisions and for verifying any data against the original SEC or congressional filing before acting on it. We are not a registered investment adviser, broker-dealer, or financial planner.
2. Eligibility and accounts
- You must be at least 18 years old to create an account or otherwise use the Service. The Service is not directed to children, and we do not knowingly collect data from anyone under 18.
- Accounts are optional. Most of the Service works without one.
- Accounts authenticate via Google Sign-In. You are responsible for keeping your Google account secure. Activity performed under your account is treated as yours.
- The data you create within the Service (tracked tickers and insiders) belongs to you. We hold it on your behalf and you may export or delete it at any time from the Settings page.
3. Acceptable use
You agree not to, and not to permit anyone else to:
- Access the Service through any automated means (bot, scraper, crawler) at machine speed. Fetching your own data at your own page-load cadence is fine; bulk-scraping aggregated data is not.
- Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure, unless you have coordinated a disclosure with us in advance.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service except to the extent these restrictions are prohibited by applicable law.
- Use the Service to violate any law, regulation, or third-party right, or to harass, defame, or impersonate any person.
- Use the Service in a way that could reasonably damage, disable, overburden, or impair it, or interfere with any other user's use of it.
4. The Service
- The Service is provided free of charge. There are no paid features today.
- Data is sourced from public SEC EDGAR filings (refreshed approximately hourly) and public STOCK Act disclosures. Refresh cadence, completeness, and accuracy are not guaranteed; when a specific filing matters to you, verify it against the authoritative record on sec.gov.
- We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any modification or discontinuation.
5. Intellectual property
The underlying SEC filings and STOCK Act disclosures are public-domain government records and are not subject to copyright. The Service itself (including its software, design, layout, copy, and visual assets) is the property of Tracefour and is protected by applicable intellectual-property laws. You may view, link to, and share screenshots of the Service for personal, non-commercial purposes; you may not republish substantial portions of the Service as your own product.
6. Disclaimer of warranties · Limitation of liability
The Service is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, timeliness, or that the Service will be uninterrupted or error-free.
To the maximum extent permitted by law, in no event shall Tracefour, its operators, contributors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Service, any content on the Service, or any decision you make based on the data shown on the Service, even if we have been advised of the possibility of such damages.
Our aggregate liability to you under or in connection with these Terms or the Service is limited to one hundred US dollars (USD $100), or, if greater, the total fees you have paid us for the Service in the twelve months preceding the event giving rise to the claim (which, today, is zero).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. To that extent, the exclusions and limitations above apply to the maximum extent permitted by law.
7. Indemnification
You agree to defend, indemnify, and hold harmless Tracefour and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service in violation of these Terms; (b) your violation of any law or regulation; or (c) your violation of any third-party right.
8. Termination
- You may stop using the Service at any time. You may delete your account from the Settings page; deletion is immediate and final.
- We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms or that your continued access poses a risk to us, the Service, or other users.
- Sections that by their nature should survive termination (including §1, §5, §6, §7, §10, and §11) will survive.
9. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via the Service and, for signed-up users, by email at least 14 days before they take effect. The "Last updated" date at the top of this page will be revised whenever the Terms change. Your continued use of the Service after a revision takes effect constitutes acceptance of the revised Terms.
10. Governing law · Dispute resolution
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the jurisdiction in which Tracefour's operator is established, without regard to its conflict-of-law principles. The courts located in that jurisdiction have exclusive jurisdiction over any dispute, claim, or matter arising out of or in connection with these Terms or the Service.
If you are a consumer resident in the European Union, you retain the benefit of any mandatory consumer-protection provisions of the laws of the country in which you habitually reside.
11. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tracefour regarding the Service and supersede all prior agreements on the subject.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including network outages, third-party service disruptions, natural disasters, or governmental action.
- No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Tracefour.
